    Brian Carrico is the President of Innovative Health Solutions. Brian began his career in Indianapolis, IN after earning a double Bachelor of Business degree from Indiana State University in 2004.     Topic: W2 Employees and 1099 Contractors, You May Not Be Protected

    David has spent his 23-year legal career advising clients with respect to business arrangements among licensed health care providers, unlicensed entities in the business of health care, insurers and other third-party payors.  For the past five years he has focused almost exclusively on the substance abuse treatment segment.  David was one of FARR’s original board members, and represents SAT providers, physician groups, clinics, clinical labs, lab managers, marketing and lead generation companies, billing companies, recovery residences, and is occasionally asked to advise private equity concerns as well as other law firms.  David has also served as full-time in-house counsel to several insurance companies, a health care marketing company, and an SAT provider.

    David is very well-versed in laws governing the corporate practice of medicine, fee-splitting, kickbacks, self-referrals, scope of practice and supervision, privacy, insurance, false claims, health care marketing; as well as more general laws governing business entities.  As part of representing health care businesses, he has become expert with respect to general legal issues arising from space and equipment leases, loan documents, employment and contractor arrangements, human resource issues, wage-and-hour law, arrangements among owners within a business, and other general business arrangements not specifically related to health care or insurance.

    • Some differences between marketers characterized as W-2 employees and those characterized as 1099 contractors from the perspective of liability under anti-kickback/patient brokering law. W-2 status does not provide the level of protection that many people think it does.
    • Fed AKS Safe Harbor limited to “…furnishing of any item or service for which payment may be made in whole or part under . . . .”
    • Importance of “bona fide.”
    • W-2 can be less risky if employer really exerts control typical of employer-employee arrangement (employee has no privacy, subject to in-house anti-fraud and other policies, observed daily by colleagues, etc.)
    • SAT providers can sometimes use a 1099 marketer more effectively than a W-2 marketer to shield the provider from liability for patient brokering.
    • If 1099 is a group of individual marketers, sometimes easier to pay them cost-plus or some other compliant formula because the contractor can then turn around and bonus its individual workers any way it sees fit.  The purchaser of marketing services can provide reports/metrics (or allow the 1099 to collect that data) necessary to determine performance of individual workers engaged by the 1099.
